Welcome to the Starpower Group, LLC d/b/a Alek Carrera Group website (the "Website"), owned and operated by Starpower Group, LLC d/b/a Alek Carrera Group ("Company," "we," "us," or "our"). We provide you access to the Website and those services made available through the Website (together with the Website, the "Services") subject to the following terms and conditions, as updated by us from time to time (the "Terms of Use"). BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS OF USE AND THE TERMS AND CONDITIONS OF OUR PRIVACY POLICY, WHICH ARE INCORPORATED BY REFERENCE (COLLECTIVELY, THE "AGREEMENT"). IF YOU DO NOT AGREE TO ANY OF THE TERMS OF THE AGREEMENT, YOU MAY NOT ACCESS OR USE THE SERVICES. THE SECTIONS BELOW TITLED "BINDING ARBITRATION" AND "CLASS ACTION WAIVER" CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. THEY AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM CAREFULLY. Capitalized terms not defined in these Terms of Use shall have the meaning set forth in the Privacy Policy.

1. THE SERVICES AND USERS The Website provides information to visitors about Alek Carrera Group, our real estate listings, and our Services. Through the Services, users may search listings posted by our agents ("Agents") and contact us through the Website. Visitors may explore publicly available content, including listings, without registering. If you create an account, you must provide true, accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your credentials and for all activities occurring under them. We may delete or change your credentials at any time for any reason without liability. If you are an Agent, you may be subject to a separate written agreement (the "Brokerage Agreement"). In the event of conflict, the Brokerage Agreement prevails. By using the Services, you consent to receive communications from us electronically in accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), and you agree that electronic communications satisfy any legal requirement that communications be in writing.

2. ACCESS The Services are intended solely for individuals aged 13 years or older. Users under 13 may not use the Services or submit personal information. If you are 13 or older but under the age of majority in your jurisdiction, you may use the Services only with the consent and supervision of a parent or guardian who agrees to be bound by these Terms. We may deny access to the Services, or close or deactivate accounts, at any time, for any reason or no reason, without liability. We grant you a limited, non-transferable, non-exclusive license to access and use the Services solely for personal, non-commercial use. You agree not to:

• Violate any applicable law or regulation;

• Use the Services to collect market research for a competing business;

• Impersonate any person or entity;

• Interfere with or disrupt the Services or servers;

• Access data without authorization;

• Reverse engineer, disassemble, decompile, or copy any code or software;

• Obscure or interfere with any notices or advertisements;

• Use automated tools, bots, scrapers, crawlers, or similar technology to access, collect, or copy content from the Services without our prior written consent;

• Use content from the Services to train, develop, or improve any artificial intelligence, machine learning, or large language model system without our prior written consent;

• Impose an unreasonable or disproportionate load on the Services' infrastructure;

• Resell or sublicense the Services;

• Remove any proprietary notices or labels; or

• Upload or transmit harmful, malicious, or unauthorized code.

We may suspend or terminate your license at any time without notice.

3. MODIFICATIONS TO THE SERVICES We may modify, suspend, or discontinue the Services at any time, with or without notice, and without liability to you. We are not responsible for any loss resulting from such modifications, suspension, or discontinuation.

4. ACKNOWLEDGMENT OF BROKER-CONSUMER RELATIONSHIP By using the Services, you acknowledge that you may be entering into a lawful broker-consumer relationship as defined under applicable state law. Real estate brokerage services in California are provided through Compass, DRE #01975841. The relationship is not exclusive, and you are not obligated to work with Alek Carrera Group. 5. INTELLECTUAL PROPERTY The Services and all materials provided through them (the "Content") are protected by copyright, trademark, and other applicable laws. We and our licensors exclusively own all rights, title, and interest in and to the Services and Content, including all associated intellectual property rights. You may view the Content for personal, non-commercial use only. No other use is permitted without our prior written consent. You may not sell, reproduce, distribute, modify, publicly perform, display, or create derivative works from the Content. Our trademarks, service marks, and logos may not be used without our prior written permission. All goodwill arising from use of our marks inures solely to us. We may freely use any feedback or suggestions you provide without compensation or obligation to you.

6. REAL ESTATE INFORMATION AND DISCLAIMERS Nothing on the Services constitutes an offer to sell, lease, or otherwise transfer any property. Any transaction will be governed solely by a separate written agreement executed by all parties. All real estate information is subject to change without notice and may be based on third-party sources. You are solely responsible for verifying information material to your decision, including dimensions, pricing, availability, zoning, legal status, and property conditions. The Services do not provide legal, tax, accounting, financial, or investment advice. You should consult qualified independent advisors before making any real estate decision. We comply with all applicable fair housing and anti-discrimination laws.

7. USER CONTENT You are solely responsible for any content you submit through the Services ("User Content"). You may not submit content that is unlawful, defamatory, harassing, infringing, spam, fraudulent, or harmful to any person or entity. By submitting User Content, you grant us a worldwide, perpetual, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and modify such content solely in connection with operating and improving the Services. We may remove or modify User Content at any time at our sole discretion.

8. INDEMNIFICATION You agree to defend, indemnify, and hold harmless Alek Carrera Group, Starpower Group LLC, and their respective affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any rights of a third party.

9. NO WARRANTIES; LIMITATION OF LIABILITY THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED USD $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY; IN SUCH CASES, THESE LIMITATIONS MAY NOT FULLY APPLY TO YOU.

10. LIMITATION ON TIME TO BRING CLAIMS Any claim or cause of action arising out of or relating to these Terms or the Services must be filed within one (1) year after the claim or cause of action arose, regardless of any statute of limitations to the contrary. Claims filed after this period are permanently barred.

11. DMCA NOTICE If you believe material on the Services infringes your copyright, please send a notice containing all required elements under 17 U.S.C. § 512(c)(3) to our designated DMCA Agent:

We have registered our DMCA agent with the U.S. Copyright Office as required for safe harbor protection. Counter-notices may be submitted to the same address.

12. FORCE MAJEURE We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, labor disputes, government actions, internet outages, or third-party service failures.

13. COMPLIANCE WITH APPLICABLE LAWS The Services are operated from the United States. You are solely responsible for compliance with laws applicable to your jurisdiction. If you are accessing the Services from outside the United States, you do so at your own risk and are responsible for complying with local laws.

14. CONTROLLING LAW This Agreement shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to conflict of laws principles. If you are accessing the Services from Mexico, certain mandatory provisions of Mexican law may also apply. Users accessing from the European Union or United Kingdom acknowledge that certain mandatory consumer protection laws in their jurisdiction may apply notwithstanding this choice of law provision.

15. BINDING ARBITRATION PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

For US residents, except as provided below, any dispute, claim, or controversy arising out of or relating to this Agreement or the Services shall be resolved exclusively by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, rather than in court. The arbitration shall be conducted in Los Angeles County, California, or via telephone, videoconference, or written submissions at the election of the claimant. The arbitrator's decision shall be final and binding. Either party may seek provisional or emergency relief in a court of competent jurisdiction. Nothing in this section prevents either party from bringing an individual action in small claims court for claims within that court's jurisdiction.

Arbitration Opt-Out: You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to info@alekcarreragroup.com with the subject line "Arbitration Opt-Out." Opting out does not affect any other provision of these Terms.

16. CLASS ACTION WAIVER YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. IF THIS WAIVER IS FOUND UNENFORCEABLE, THE ENTIRE ARBITRATION SECTION SHALL BE NULL AND VOID.

17. EQUITABLE RELIEF Notwithstanding the arbitration agreement above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or other proprietary rights.

18. EXTERNAL SITES The Services may contain links to third-party websites. We are not responsible for the content, privacy practices, or terms of third-party websites. Your use of third-party websites is at your own risk.

19. TERMINATION We may modify, suspend, or terminate your access to the Services at any time, with or without notice and without liability. Upon termination, all licenses granted to you cease immediately. The following sections survive termination: 5, 6, 8, 9, 10, 14, 15, 16, 17, and 19–21.

20. CHANGES TO THESE TERMS OF USE We may update these Terms at any time. For material changes, we will make reasonable efforts to provide notice, such as posting a notice on the Website or updating the "Last Updated" date. Your continued use of the Services after any update constitutes your acceptance of the revised Terms.

21. GENERAL No failure or delay by either party in exercising any right constitutes a waiver of that right. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Services and supersede all prior and contemporaneous oral or written agreements.
